In these Terms and Conditions:
“Company” means GNC Marine Global, a company incorporated in Denmark.
“Client” means any business purchasing Products or Services.
“Products” means goods supplied by the Company.
“Services” means services provided by the Company.
“Agreement” means the contract between Company and Client.
“Order” means a written purchase order or acceptance of a quotation.
These Terms apply exclusively to business-to-business transactions.
The Company does not sell Products via its website.
These Terms govern all quotations, Orders, and supplies unless otherwise agreed in writing.
Quotations are non-binding unless stated otherwise.
An Agreement is formed only upon written acceptance by the Company.
Prices exclude VAT, duties, and transport unless agreed otherwise.
Payment terms are stated on the invoice.
Late payments may incur interest under Danish law.
Delivery dates are estimates unless agreed otherwise.
Delivery follows agreed Incoterms®
Risk passes per agreed Incoterms®.
Title remains with the Company until full payment.
Products must be inspected on delivery.
Claims must be notified within 7 days.
Products conform to agreed specifications at delivery.
Warranty excludes misuse or non-compliance.
Remedy is repair, replacement, or refund.
Returns require prior written approval.
Products must be unused and in original packaging.
Client is responsible for compliance with applicable laws.
No liability for indirect or consequential losses.
Total liability limited to the amount paid.
Client indemnifies the Company for misuse or legal non-compliance.
All intellectual property remains with the Company.
Confidential information must not be disclosed.
No liability for events beyond reasonable control.
The Company may terminate for breach or insolvency.
Danish law applies.
Exclusive jurisdiction of Danish courts.
The Company may amend these Terms for future transactions.
